Terms of Service

01. General Provisions

These Terms of Service ("Terms") govern the sale of goods, manufacturing services, and related transactions between SawTech Mfg. ("Seller", "We", "Us") and the purchasing entity ("Buyer", "Client"). By issuing a Purchase Order or accepting a Proforma Invoice, the Buyer agrees to be bound by these Terms.

These Terms apply exclusively to business-to-business (B2B) transactions, including wholesale distribution, industrial procurement, and OEM/ODM manufacturing projects.

02. Orders & Contracts

• Order Placement: All orders must be submitted in writing (via email or formal Purchase Order) specifying product codes, quantities, technical specifications, and requested delivery dates.
• Acceptance: An order is deemed accepted only upon the issuance of a Proforma Invoice (PI) or Sales Confirmation by the Seller.
• Modifications: Any changes to confirmed orders regarding specifications or quantity must be requested in writing. Changes may affect pricing and delivery timelines.
• Cancellation: Orders for customized (OEM/ODM) products cannot be cancelled once production has commenced or raw materials have been procured.

03. OEM/ODM & Intellectual Property

Tooling & Molds: Unless otherwise agreed in writing, molds or tooling fees paid by the Buyer grant exclusive usage rights for that specific design. However, the physical tooling remains in the custody of the Seller for maintenance and production purposes.

Confidentiality: Both parties agree to keep all technical drawings, trade secrets, and manufacturing processes exchanged during the collaboration strictly confidential.

04. Pricing & Payment Terms

Currency: Unless otherwise stated, all prices are quoted in US Dollars (USD) or RMB.

Standard Terms:

• Deposit: A 30% deposit is required to initiate production.
• Balance: The remaining 70% balance is due prior to shipment or against the copy of the Bill of Lading (B/L), subject to credit approval.
• Methods: We accept T/T (Telegraphic Transfer) and L/C (Letter of Credit) for qualified orders exceeding $50,000 USD.

05. Quality & Tolerances

Technical Standards: HSS and TCT saw blades are manufactured according to DIN standards or agreed-upon custom technical drawings.

Tolerances: Due to the nature of metal processing, standard industrial tolerances apply to dimensions, thickness, and coating uniformity unless "Precision Grade" is specified in the contract.

Samples: Pre-production samples can be provided for approval. Mass production will strictly follow the quality standard of the approved sample.

06. Shipping & Delivery

Incoterms: Unless otherwise specified, terms are FOB (Free on Board) China Port. We can also arrange CIF, EXW, or DDP upon request.

Lead Time: Estimated delivery dates are provided in good faith. While we strive to meet all deadlines, we are not liable for delays caused by force majeure, customs inspections, or shipping carrier delays.

07. Warranty & Returns

Inspection Period: The Buyer must inspect goods within 7 days of receipt. Any claims regarding quantity discrepancies or visible defects must be made within this period.

Limited Warranty: We warrant that our products are free from material defects in workmanship and materials. This warranty does not cover normal wear and tear, misuse, improper installation, or use without appropriate coolant/lubrication (where required).

Remedy: In the event of a proven manufacturing defect, our liability is limited to the replacement of the defective goods or a refund of the purchase price of the specific items.

08. Limitation of Liability

To the maximum extent permitted by law, SawTech Mfg. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, production downtime, or business interruption arising out of the use or inability to use our products.
